1. Agreement to Terms

By accessing or using Ambitt Media's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Ambitt Media provides web development, mobile app development, SEO optimization, ad management, and website maintenance services. The specific scope of work for each project will be outlined in a separate agreement or statement of work.

3. Subscription Plans

For our maintenance subscription services:

Billing: Subscriptions are billed monthly in advance. Payments are processed through Stripe.
Hours: Each plan includes a set number of development hours per week. Unused hours do not roll over to the next billing period.
Additional Hours: Work beyond your plan's allocation will be billed at our standard hourly rate, with prior notification.
Cancellation: You may cancel your subscription at any time with 30 days notice. No refunds are provided for partial months.
Plan Changes: Upgrades take effect immediately with prorated billing. Downgrades take effect at the start of the next billing cycle.

4. Payment Terms

For project-based work:

A deposit of 50% is required before work begins
The remaining balance is due upon project completion
Late payments may incur a fee of 1.5% per month
We reserve the right to pause work on accounts with outstanding balances

5. Client Responsibilities

You agree to:

Provide accurate and complete information necessary for us to perform the services
Respond to requests for feedback and approvals in a timely manner
Ensure you have the rights to any content you provide to us
Maintain the confidentiality of any account credentials we provide
Not use our services for any unlawful purpose

6. Intellectual Property

Client Content: You retain ownership of all content, materials, and data you provide to us.

Deliverables: Upon full payment, you will own all custom code, designs, and deliverables created specifically for your project.

Our Tools: We retain ownership of our proprietary tools, frameworks, and methodologies used in the creation of deliverables.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This includes business strategies, technical specifications, and any information marked as confidential.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

We do not guarantee specific results, rankings, or business outcomes
Services are provided "as is" without warranties of merchantability or fitness for a particular purpose
We are not responsible for third-party services, APIs, or platforms

9. Limitation of Liability

To the maximum extent permitted by law, Ambitt Media's total liability for any claims arising from these terms or our services shall not exceed the amount paid by you for the services in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold harmless Ambitt Media from any claims, damages, or expenses arising from your use of our services, your breach of these terms, or your violation of any third-party rights.

11. Termination

Either party may terminate the agreement with 30 days written notice. We may terminate immediately if you breach these terms. Upon termination, you must pay for all services rendered up to the termination date.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
